В статье на основе судебно-арбитражной практики и доктринальных положений рассматриваются понятия «несуществующие юридические лица» и «фирмы-однодневки», природа заключаемых ими сделок, последствия участия в хозяйственном обороте. Доказывается необходимость дифференциации налогово-правовых и гражданско-правовых последствий сделок, заключаемых с такими субъектами, в зависимости от наличия фактического исполнения и формы вины их контрагентов, установления в законе обязанности налоговых органов обращаться в суд с одновременными требованиями о признании таких сделок ничтожными и применении соответствующих налоговых последствий.
In the article on the basis of judicial-arbitration practice and positions of doctrine concepts «nonexistent legal bodies» and firms-something ephemeral, the nature of transactions closed by them, consequences of participation in economic circulation are considered. The necessity of the differentiation of tax-legal and civil-law consequences of the transactions closed by such subjects, depending on presence of actual execution and the form of fault of their counterparts is proved, as well stating in the law of a duty of tax departments to address court with simultaneous requirements about recognition of such transactions null and application of corresponding tax consequences.
